Terms of Service

Effective Date: February 14, 2026

Agreement: By creating a Flocent account, downloading our app, or using our services, you agree to be bound by these Terms of Service. If you do not agree, you must not access or use our services.

1. Introduction

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and the applicable Flocent entity ("Flocent", "we", "us"). These Terms govern your access to and use of the Flocent website, mobile application, and financial services (collectively, the "Services").

2. Contracting Entity

The Flocent entity you are contracting with depends on your country of residence:

  • Nigeria & Africa: Flocent Technologies Ltd (Lagos, Nigeria).
  • United Kingdom & EEA: Flocent Global Ltd (London, UK).
  • United States: Flocent USA Inc. (Delaware, USA).

3. Eligibility

To use our Services, you must:

  • Be at least 18 years old (or the age of majority in your jurisdiction).
  • Have full legal capacity to enter into a contract.
  • Not be located in a sanctioned country or listed on any prohibited persons list (e.g., OFAC, UN Sanctions).

4. Identity Verification (KYC)

To comply with anti-money laundering (AML) laws, we must verify your identity. You agree to provide accurate, current, and complete information during the registration process, including but not limited to your government ID, BVN (for Nigeria), SSN (for USA), and facial biometrics.

5. Fees and Payments

You are responsible for paying all fees associated with your use of the Services. We will always disclose the applicable fees for a transaction to you prior to your confirmation. All fees are non-refundable unless otherwise stated.

6. Intellectual Property

All content, trademarks, service marks, logos, and trade names on our Services are the property of Flocent Limited. or its licensors. You are granted no right or license with respect to any of the foregoing intellectual property.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Flocent, its affiliates, agents, directors, or employees be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, or other intangible losses, that result from the use of, or inability to use, this Service.

8. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. You may terminate your account at any time by contacting customer support.

12. Governing Law and Dispute Resolution

The laws governing these Terms and the jurisdiction for any disputes depend on your country of residence. Please refer to the table below to determine which laws apply to you.

12.1. Arbitration Agreement (For US Users Only)

If you reside in the United States, you agree that any dispute or claim relating in any way to your access or use of the Services will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. You are giving up the right to litigate (or participate in as a party or class member) all disputes in court before a judge or jury.

12.2. Dispute Resolution Process (Global)

Before filing a claim, you agree to try to resolve the dispute informally by contacting [email protected]. We will try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or Flocent may bring a formal proceeding.

13. Limitation of Liability

To the maximum extent permitted by law, Flocent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
